Domain Registration Agreement

This Domain Registration Agreement (this “Agreement”) is a legally binding contract between you (“you,” “your,” the “Registered Name Holder,” or “Registrant”) and OrangeHost LLC (“OrangeHost,” “we,” “our,” or “us”), a Delaware Limited Liability Company and ICANN-Accredited Registrar (IANA ID 4335), with its address at 2810 North Church Street, Wilmington, Delaware, 19802, United States. You must read this entire Agreement, together with our dispute policy referenced below, and agree to be bound by all of its terms before completing any domain name registration.

This Agreement governs the registration, renewal, transfer, and management of domain names registered through OrangeHost. It applies in addition to our Terms of Service, Privacy Policy, and Abuse Policy.

1. Acceptance and Scope

By submitting a registration, renewal, or transfer request, or by using any domain name registered through us, you agree to be bound by this Agreement. The term “you” refers to the Registered Name Holder. In addition to transactions you enter into on your own behalf, you agree to be bound by this Agreement for transactions entered into on your behalf by anyone acting as your agent, and for transactions entered into by anyone who uses the account you have established with OrangeHost, whether or not those transactions were authorized by you.

You acknowledge that OrangeHost is bound by the Registrar Accreditation Agreement (“RAA”) between OrangeHost and the Internet Corporation for Assigned Names and Numbers (“ICANN”), and by the registry agreements applicable to each top-level domain (“TLD”) we offer. You agree that OrangeHost may modify this Agreement at any time in order to comply with applicable law, ICANN requirements (including Consensus Policies and Temporary Policies), and the requirements of the applicable registry operators.

2. Definitions

“ICANN” means the Internet Corporation for Assigned Names and Numbers. “Registry Operator” means the entity responsible for operating the registry for a given TLD. OrangeHost registers domain names through multiple Registry Operators, including (without limitation) Verisign (.com, .net), Public Interest Registry (PIR), Google Registry, GoDaddy Registry, Identity Digital, and CentralNic Registry (Team Internet). Each TLD, and your registration in it, is subject to the policies, specifications, and requirements of the Registry Operator that operates that TLD, as well as to ICANN requirements. “Registration Data” means the contact and technical data associated with your domain name. “Personal Data” means data about any identified or identifiable natural person. “RDDS” means the Registration Data Directory Service (including WHOIS and RDAP).

3. Your Obligations as a Registered Name Holder

3.1 Accurate Contact Information

You must provide accurate and reliable contact details to OrangeHost at the time of registration and must correct and update them within seven (7) days of any change during the term of your registration. The required details include: your full name, postal address, email address, voice telephone number, and (where available) fax number; the name of an authorized contact person if the Registered Name Holder is an organization, association, or corporation; and the name(s) and contact details of the technical and administrative contacts for the domain name.

3.2 Consequences of Inaccurate Information

Your willful provision of inaccurate or unreliable information, your willful failure to update information provided to us within seven (7) days of any change, or your failure to respond for over fifteen (15) days to inquiries by OrangeHost concerning the accuracy of the contact details associated with your registration, shall constitute a material breach of this Agreement and is a basis for suspension and/or cancellation of your domain name registration.

3.3 Licensing a Domain to a Third Party

If you intend to license the use of a domain name to a third party, you remain the Registered Name Holder of record and are responsible for providing your own full contact information and for providing and updating accurate technical and administrative contact information adequate to facilitate timely resolution of any problems that arise in connection with the domain name. A Registered Name Holder licensing the use of a domain name accepts liability for harm caused by wrongful use of the domain name, unless it promptly discloses the current contact information provided by the licensee, and the identity of the licensee, within seven (7) days to a party providing reasonable evidence of actionable harm.

4. Privacy and Handling of Your Personal Data

This Section constitutes the notice and consent required under our ICANN accreditation. By registering a domain name, you acknowledge and consent to the following.

4.1 Purposes of Data Collection

The Personal Data you provide is collected and processed for the purposes of registering and maintaining your domain name, providing domain and account services, complying with ICANN requirements and registry policies, providing the Registration Data Directory Service (RDDS/WHOIS/RDAP) where required, and complying with applicable law.

4.2 Recipients of Your Data

You acknowledge that the Personal Data and Registration Data associated with your domain name may be transferred to and held by the following recipients (or categories of recipients): the Registry Operator for the applicable TLD (and parties who receive data from the Registry Operator); any data escrow agent with whom we are required to deposit registration data; ICANN; and our service providers, contractors, and (where applicable) resellers, in each case for the purposes described above and as required by our agreements with ICANN and the Registry Operators.

4.3 Obligatory and Voluntary Data

The data fields required to register a domain name (including your name, postal address, email address, and telephone number) are obligatory; registration cannot be completed without them. Any additional information requested is voluntary unless we indicate otherwise.

4.4 Access and Rectification

You may access and, where necessary, rectify the Registration Data we hold about you by logging into your account or by contacting us at [email protected].

4.5 Consent to Processing

You consent to the data processing described in this Section 4. Where you supply to OrangeHost the Personal Data of any third party (for example, a technical or administrative contact), you represent that you have provided notice to, and obtained the consent of, that third party equivalent to the notice and consent described in this Section.

4.6 Our Commitments

OrangeHost will not process the Personal Data collected from you in a way that is incompatible with the purposes and limitations described in this Section. OrangeHost will take reasonable precautions to protect Personal Data from loss, misuse, and unauthorized access, disclosure, alteration, or destruction.

5. Your Representations

You represent and warrant that, to the best of your knowledge and belief, neither the registration of your domain name nor the manner in which it is directly or indirectly used infringes the legal rights of any third party. You further represent that all information you provide is accurate and that you have the authority to enter into this Agreement.

6. Prohibited Uses

You shall not use, and shall not permit any third party to use, a domain name registered through OrangeHost to distribute malware, abusively operate botnets, engage in phishing or pharming, commit piracy or trademark or copyright infringement, engage in fraudulent or deceptive practices, distribute counterfeit goods, or otherwise engage in activity contrary to applicable law. Violation of this Section may result in consequences including, without limitation, suspension, cancellation, lock, hold, or transfer of the affected domain name(s), consistent with applicable law and any related procedures.

7. Reservation of Rights by the Registry Operator

You acknowledge and agree that the Registry Operator for the applicable TLD (including Verisign for .com and .net) reserves the right to deny, cancel, redirect, or transfer any registration or transaction, or to place any domain name(s) on registry lock, hold, or similar status, as it deems necessary in its unlimited and sole discretion: (1) to comply with specifications adopted by any industry group generally recognized as authoritative with respect to the Internet (e.g., RFCs); (2) to correct mistakes made by the Registry Operator or any registrar in connection with a domain name registration; (3) for the non-payment of fees to the Registry Operator; (4) to protect against imminent and substantial threats to the security and stability of the TLD, the registry system, the Registry Operator’s nameserver operations, or the Internet; (5) to ensure compliance with applicable law, government rules or regulations, or pursuant to any legal order or subpoena of any governmental, administrative, or judicial authority of competent jurisdiction; and/or (6) to stop or prevent any violations of any applicable terms and conditions.

The grounds enumerated above are those reserved by Verisign for .com and .net registrations. Each other Registry Operator through which OrangeHost registers domain names (including Public Interest Registry, Google Registry, GoDaddy Registry, Identity Digital, and CentralNic Registry / Team Internet) similarly reserves the right to deny, cancel, redirect, transfer, lock, hold, or suspend domain name registrations in the TLDs it operates, in accordance with its own registry policies and its registry agreement with ICANN. Your registration in any TLD is subject to the reserved rights, policies, and specifications of the Registry Operator that operates that TLD, and you agree to comply with them.

8. Domain Name Dispute Policies

You agree to be bound by, and your registration is subject to, the following ICANN policies, each as may be amended from time to time:

• The Uniform Domain Name Dispute Resolution Policy (UDRP), available at https://www.icann.org/resources/pages/policy-2024-01-31-en;
• The Uniform Rapid Suspension (URS) procedure, where applicable to the TLD; and
• The Inter-Registrar Transfer Policy (Transfer Policy), available at https://www.icann.org/resources/pages/transfer-policy-2024-09-09-en.

These policies are incorporated into this Agreement by reference. They establish how disputes concerning the registration of domain names are resolved and how domain names are transferred between registrars and registrants.

9. Domain Term, Renewal, Expiration, and Deletion

9.1 Registration Term and Renewal

Domain names are registered for the term you select (typically one or more years). To keep your domain name active, it must be renewed before it expires. We will provide renewal reminders to the email address associated with your account; however, it is your responsibility to ensure your domain is renewed and your payment information is current.

9.2 Auto-Renewal

Unless you have disabled auto-renewal, OrangeHost may automatically attempt to renew your domain name at the then-current price using your payment method on file before the expiration date.

9.3 Expiration and Deletion Timeline

If a domain name is not renewed by its expiration date, it proceeds through the following stages. Day 0 is the expiration date. The exact timeline may vary by TLD in accordance with the applicable registry’s rules.

During the parking period (Day 0–20), the domain may be renewed at the standard renewal fee. If it is not renewed, it enters the Redemption Period (Day 20–50), during which it may be recovered only by restoring it and paying the applicable restore/redemption fee described in Section 9.4. Following the Redemption Period, the domain enters Pending Delete (Day 50–55), during which it cannot be renewed or restored, after which it is released by the registry and becomes available for registration by the public. Where extenuating circumstances apply (such as a UDRP proceeding, a valid court order, or a payment or billing dispute), this timeline may differ as permitted by ICANN policy.

9.4 Redemption / Restore Fee

If your domain name has entered the Redemption Period, you may request that we restore it, subject to availability and registry rules, by paying the applicable restore/redemption fee in addition to the renewal fee. The redemption fee varies by TLD. The fee applicable to your domain is displayed on our pricing page and at the time you request a restore. Recovery of a domain name during the Redemption Period is not guaranteed.

10. Domain Transfers and Authorization Codes

You may transfer your domain name to or from OrangeHost in accordance with the Inter-Registrar Transfer Policy. Upon your request, OrangeHost will provide you with timely access to your domain’s authorization code (also called an EPP code or auth code) and the ability to modify it, where the applicable TLD uses such codes. We will respond to any request regarding access to or modification of an authorization code within five (5) calendar days. Some TLDs impose a lock period (typically 60 days) following an initial registration or a transfer during which the domain cannot be transferred again.

11. Fees and Refunds

All applicable registration, renewal, transfer, and redemption fees are due in accordance with our Terms of Service and the pricing displayed at the time of purchase. As stated in our Terms of Service, fees for domain name registration, domain name transfers, and domain name renewals are non-refundable. Nothing in this Agreement limits the amount OrangeHost may charge for the registration or renewal of domain names.

12. Suspension, Cancellation, and Transfer

You agree that your registration of a domain name is subject to suspension, cancellation, or transfer pursuant to any applicable ICANN specification or policy, or pursuant to any registrar or registry procedure not inconsistent with such specifications or policies: (1) to correct mistakes by OrangeHost or the Registry Operator in registering the name; or (2) for the resolution of disputes concerning the domain name. We may also suspend, cancel, lock, or transfer a domain name as required to comply with applicable law, ICANN requirements, registry requirements, or a valid order of a court or authority of competent jurisdiction, or in response to confirmed abuse as described in our Abuse Policy.

13. Indemnification

You agree to indemnify, defend, and hold harmless OrangeHost, the applicable Registry Operator for each TLD in which you hold a registration (including, without limitation, Verisign, Inc. and its subcontractors and affiliates for .com and .net registrations, and Public Interest Registry, Google Registry, GoDaddy Registry, Identity Digital, and CentralNic Registry / Team Internet for domains in the TLDs they respectively operate), and each of their respective directors, officers, employees, agents, subcontractors, and affiliates, from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable legal fees and expenses) arising out of or related to your domain name registration, your use of any domain name, or your breach of this Agreement. This indemnification obligation in favor of each Registry Operator shall survive the termination or expiration of this Agreement.

14. Disclaimer and Limitation of Liability

To the maximum extent permitted by law, domain name services are provided on an “as is” and “as available” basis. OrangeHost disclaims all warranties of any kind, express or implied, including warranties of merchantability and fitness for a particular purpose. OrangeHost will not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, or for loss of profits or data, arising out of or in connection with your domain name or this Agreement.

15. WHOIS / RDDS Publication

As required by ICANN and the applicable Registry Operators, certain Registration Data is published through the Registration Data Directory Service (RDDS), which includes WHOIS and the Registration Data Access Protocol (RDAP), subject to applicable data-redaction policies. If you wish to limit the public display of your contact information, you may subscribe to our WHOIS Privacy / Proxy service as described on our Domain Privacy & Proxy Services page.

16. Changes to This Agreement

OrangeHost may amend this Agreement from time to time, including to comply with applicable law, ICANN Consensus Policies and Temporary Policies, and registry requirements. Material changes will be communicated to you using the same effort we use to inform you of other material changes (such as email and/or posting on our website). Your continued use of a domain name after the effective date of any change constitutes your acceptance of the amended Agreement.

17. Governing Law and Jurisdiction

This Agreement is governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules. For the adjudication of disputes concerning or arising from the use of a domain name, you agree to submit, without prejudice to other potentially applicable jurisdictions, to the jurisdiction of the courts of (1) your domicile and (2) the State of Delaware, United States, where OrangeHost is located.

By completing a domain name registration, renewal, or transfer with OrangeHost, you acknowledge that you have read, understood, and agreed to be bound by this Domain Registration Agreement.
